Runwaize Terms of Service

1. Introduction
These Terms govern access to and use of Runwaize's products and services, including:
- Supervaize
- Skills Cookbook
- Aidan Agentic Coach
- Supervaizer (open-source components)
(collectively, the "Services"). By using the Services, you ("Client") agree to these Terms.
The Services are operated and provided by ODM SAS, a company registered in France, with its registered office at 144 avenue Charles de Gaulle, 92200 Neuilly-sur-Seine, France ("Runwaize", "we", "us").
2. Nature of the Services
Runwaize provides software tools to orchestrate, monitor, and govern AI systems.
Runwaize does not operate AI Agents, Skills, or third-party systems, and does not make decisions on behalf of the Client.
3. AI Systems
AI systems are inherently non-deterministic and may produce incorrect, incomplete, or harmful outputs.
The Client is solely responsible for the configuration, use, and outcomes of AI systems, including any decisions or actions taken based on their outputs.
Runwaize makes no representation or warranty regarding the behavior, outputs, or results of any AI system.
4. Responsibility
The Client is responsible for:
- defining use cases and workflows
- validating outputs and decisions
- ensuring compliance with applicable laws
- implementing appropriate oversight and controls
Runwaize provides tooling only and assumes no responsibility for outcomes.
5. Skills Cookbook
Skills may be provided by third parties or other users.
Runwaize does not review or guarantee the safety, accuracy, or suitability of any Skills.
The Client is solely responsible for evaluating and using such Skills.
6. Aidan Agentic Coach
Aidan generates automated outputs for informational purposes only.
Runwaize does not guarantee their accuracy or completeness, and the Client remains solely responsible for any reliance placed upon them.
7. Supervaizer (Open Source)
Supervaizer components are provided under open-source licenses and are deployed and operated by the Client.
Runwaize does not control or assume responsibility for their operation, security, or performance.
8. Third-Party Services
The Services may rely on third-party systems.
Runwaize does not control and is not responsible for their availability, performance, or behavior.
9. Acceptable Use
The Client shall not use the Services in violation of applicable laws or for unauthorized or harmful activities.
Runwaize may suspend or terminate access for violations.
10. Data
The Client retains ownership of its data and is responsible for its legality, accuracy, and use.
11. Security
Runwaize implements reasonable safeguards, but no system is fully secure.
Security is a shared responsibility, and the Client is responsible for access control and configuration.
12. Fees
Fees, billing terms, and subscriptions are defined at purchase.
Non-payment may result in suspension or termination.
13. Availability
Runwaize does not guarantee uninterrupted or error-free operation of the Services.
14. Termination
Runwaize may suspend or terminate access for breach, misuse, or non-payment.
15. Consulting Services
Runwaize may provide consulting or advisory services.
Such services are provided on a best-effort basis. Any outputs or recommendations are informational only, and the Client remains solely responsible for decisions and outcomes.
16. Indemnification
The Client agrees to indemnify Runwaize against claims arising from the use of the Services, including the use of AI systems, Skills, or third-party integrations.
17. Limitation of Liability
To the maximum extent permitted by law, Runwaize shall not be liable for indirect or consequential damages, or for any outcomes resulting from the use of AI systems.
Runwaize's total liability is limited to the fees paid in the 12 months preceding the claim, or USD $100 if no fees were paid.
18. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Paris, France. Any dispute arising out of or relating to these Terms or the Services shall be

Runwaize may update these Terms at any time. Continued use constitutes acceptance.
